RedditMaster Affiliate Program Agreement

Effective date: April 15, 2026

This RedditMaster Affiliate Program Agreement ("Agreement") is entered into between RedditMaster ("RedditMaster", "we", "us" or "our") and you, the individual or entity enrolling in the RedditMaster Affiliate Program ("Affiliate", "you" or "your"). By signing up for the RedditMaster Affiliate Program (the "Program"), you agree to be bound by this Agreement, the RedditMaster Privacy Policy, and the RedditMaster Terms of Service, each as updated from time to time.

1. Definitions

2. Enrollment and Eligibility

2.1 You must be at least 18 years old and legally able to enter into binding contracts in your jurisdiction.

2.2 You must submit accurate and truthful information when applying, including your legal name, contact email, and (where applicable) tax residency and business details.

2.3 You may not enroll if you are an employee, contractor, or immediate family member of an employee of RedditMaster, unless we have expressly approved your participation in writing.

2.4 RedditMaster may accept or reject any application at its sole discretion and may require additional verification before activating your Affiliate account.

2.5 You may not operate multiple Affiliate accounts without our prior written consent.

3. Affiliate Link, Tracking, and Attribution

3.1 Upon approval, you will receive one or more unique Affiliate Links. You agree to use only Affiliate Links issued to you and not to alter, obfuscate, or cloak them in a way that prevents accurate attribution.

3.2 Attribution is performed on a last-click basis: the most recent qualifying click on your Affiliate Link within the Cookie Window will be credited with any resulting paid signup.

3.3 RedditMaster uses cookies, server logs, and related tracking technologies to attribute Referrals. You acknowledge that technical limitations, ad blockers, third-party browsers, user privacy settings, and other factors may prevent some Referrals from being tracked, and that only Referrals actually recorded by our systems are eligible for Commission.

3.4 You are responsible for ensuring that any promotion of RedditMaster through your Affiliate Link complies with applicable law, including disclosure requirements described in Section 8.

4. Commissions

4.1 Unless RedditMaster has provided you with a written override, the default Commission is 30% of the net recurring subscription revenue actually collected by RedditMaster from each qualifying Referral, for a period of twelve (12) months from the Referral's first paid invoice.

4.2 Commissions are earned when a qualifying Referral is successfully billed by RedditMaster and are subject to a hold period of thirty (30) days (the "Hold Period") during which the Commission is pending. After the Hold Period and subject to this Agreement, the Commission becomes approved and eligible for payout.

4.3 RedditMaster may change Commission rates, durations, or hold periods on a prospective basis by updating this Agreement or by sending you a written notice. Changes will not apply to Commissions already earned before the effective date of the change.

4.4 RedditMaster may withhold, reduce, reverse, offset, or forfeit any Commission that we reasonably believe is attributable to a violation of this Agreement, fraud, self-referral, chargebacks, refunds, disputes, invalid traffic, or any reversal of the underlying subscription charge.

4.5 A minimum payout threshold may apply. If your approved Commission balance is below the then-current threshold at the time of a scheduled payout run, the balance will be carried forward to the next payout cycle.

5. Payment Terms

5.1 Commissions will be paid through the payout method approved by RedditMaster for your account (e.g., PayPal, Wise, or bank transfer). You are responsible for keeping your payout details accurate and up to date.

5.2 All Commissions are denominated and paid in United States dollars unless RedditMaster expressly agrees otherwise in writing.

5.3 Any bank fees, foreign exchange conversion costs, payment processor fees, intermediary fees, or similar charges assessed against your payout are your responsibility and may be deducted from the payout amount.

5.4 Taxes. You are solely responsible for determining, reporting, collecting, remitting, and paying any and all taxes (including income, withholding, sales, VAT, GST, and similar taxes) applicable to Commissions you receive. RedditMaster is not your employer, partner, or joint venturer, and nothing in this Agreement creates any such relationship. Commissions are paid to you as an independent contractor.

6. Tax Forms and Information Reporting

6.1 You agree to provide RedditMaster with a completed and valid IRS Form W-9 (if you are a U.S. person) or the appropriate IRS Form W-8 series document (e.g., W-8BEN or W-8BEN-E, if you are a non-U.S. person), in each case before we are required to make any payout to you.

6.2 You agree to resubmit an updated tax form promptly upon any change that affects the accuracy of the form previously submitted, and at such other times as RedditMaster may reasonably request (including, for W-8 forms, at least once every three years).

6.3 If you fail to provide a valid and current tax form, RedditMaster may, at its sole discretion and in accordance with applicable law, delay, suspend, or withhold payouts, apply backup withholding, or terminate your participation in the Program. Amounts withheld or delayed under this Section are not recoverable from RedditMaster.

6.4 Where required by law, RedditMaster will issue an IRS Form 1099 (or comparable information return) reporting Commissions paid to you.

7. Prohibited Conduct

You agree that you will not, and will not encourage or permit any third party to:

(a) make Referrals using your own account, accounts controlled by you, members of your household, or any other form of self-referral;

(b) bid on or otherwise purchase paid search or social advertising that includes "RedditMaster", "Reddit Master", "reddit-master", or any confusingly similar term, mark, domain, or misspelling, or that could cause your ads to be displayed in response to such queries;

(c) register, use, or traffic any domain name, social handle, mobile app listing, or similar identifier that contains, is confusingly similar to, or otherwise trades on RedditMaster brand assets;

(d) engage in cookie stuffing, forced clicks, hidden iframes, automated traffic, bot traffic, click farms, incentivized clicks, or any other mechanism designed to generate clicks or signups that are not the result of a genuine, informed decision by the end user;

(e) send unsolicited bulk email, SMS, DMs, or other messages ("spam") to promote RedditMaster, or otherwise violate any anti-spam, anti-unsolicited-marketing, or consumer-protection law (including the CAN-SPAM Act, CASL, GDPR and ePrivacy);

(f) use deceptive, misleading, or false advertising, fake testimonials, fake reviews, fabricated performance claims, or unauthorized trademarks to promote RedditMaster;

(g) run your Program activities on websites or channels that contain or promote adult content, hate speech, illegal content, malware, piracy, or other content that RedditMaster reasonably considers harmful to its brand;

(h) offer cash-back, rebates, coupon codes not issued by RedditMaster, or other financial incentives tied to the use of your Affiliate Link, unless expressly approved in writing by RedditMaster;

(i) misrepresent your relationship with RedditMaster or imply endorsement, sponsorship, partnership, or certification by RedditMaster beyond what is actually authorized by this Agreement;

(j) reverse engineer, scrape, or attempt to circumvent RedditMaster's tracking, fraud detection, or rate-limiting systems;

(k) violate any applicable law, regulation, or third-party right (including intellectual property and privacy rights) in connection with your participation in the Program.

RedditMaster may, at its sole discretion, determine whether any activity violates this Section and take any action it deems appropriate, including reversal of Commissions and termination of your account.

8. FTC Disclosure and Advertising Compliance

8.1 You agree to comply with the U.S. Federal Trade Commission's Endorsement Guides and all comparable laws and guidelines in any jurisdiction where you promote RedditMaster. This includes clearly and conspicuously disclosing your material connection with RedditMaster whenever you endorse or recommend RedditMaster in a manner that may be perceived as an endorsement.

8.2 Acceptable disclosures include clear language such as "#ad", "#sponsored", "affiliate link", "I earn a commission if you sign up through this link", or equivalent. Disclosures must be placed where a typical reader will see them before they act on your recommendation.

8.3 You are solely responsible for the content, legality, and compliance of your own marketing materials. You represent and warrant that any claims you make about RedditMaster are truthful, not misleading, and can be substantiated.

9. Intellectual Property and Brand Use

9.1 Subject to your compliance with this Agreement, RedditMaster grants you a limited, non-exclusive, non-transferable, revocable license to use RedditMaster's name, logo, and approved marketing assets solely for the purpose of promoting RedditMaster through your Affiliate Link.

9.2 You may not modify, distort, or combine RedditMaster's brand assets with other marks in a way that creates the false impression of a partnership, joint venture, or endorsement.

9.3 All goodwill arising from your use of RedditMaster's brand assets inures solely to RedditMaster. RedditMaster retains all rights not expressly granted to you.

10. Chargebacks, Refunds, and Reversals

10.1 If a Referral's underlying subscription charge is refunded, reversed, charged back, disputed, written off, or otherwise not collected by RedditMaster, the related Commission will be reversed (in whole or in part, as applicable) and deducted from your pending, approved, or future balance.

10.2 If, at the time of reversal, your balance is insufficient to fully absorb the reversal, RedditMaster may carry the negative balance forward and offset it against future Commissions, or require repayment.

11. Term and Termination

11.1 This Agreement begins when you enroll in the Program and continues until terminated by either party.

11.2 Either party may terminate this Agreement at any time, with or without cause, by providing written notice (including via email or via the Affiliate dashboard).

11.3 Upon termination: (a) your right to use Affiliate Links and RedditMaster brand assets ends immediately; (b) any Commissions that have been earned, approved, and exceed the minimum payout threshold in accordance with this Agreement will be paid in the next regular payout cycle; (c) Commissions that are pending, below the minimum payout threshold, attributable to prohibited conduct, or not yet vested at termination may be forfeited at RedditMaster's sole discretion; and (d) RedditMaster may reverse or withhold amounts related to fraudulent or non-compliant activity.

11.4 Sections 4.4, 5.4, 6, 10, 11.3, 12, 13, 14, and 15 survive termination.

12. Confidentiality

You agree to keep confidential any non-public information about RedditMaster that you learn through your participation in the Program, including pricing, unreleased features, internal metrics, and financial information, and not to disclose or use such information except for the purpose of operating under this Agreement.

13. Disclaimers and Limitation of Liability

13.1 THE PROGRAM IS PROVIDED "AS IS" AND "AS AVAILABLE". REDDITMASTER MAKES NO REPRESENTATIONS OR WARRANTIES, EXPRESS OR IMPLIED, INCLUDING ANY WARRANTY OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, OR THAT THE PROGRAM WILL GENERATE ANY PARTICULAR LEVEL OF COMMISSIONS.

13.2 TO THE MAXIMUM EXTENT PERMITTED BY LAW, REDDITMASTER'S TOTAL CUMULATIVE LIABILITY UNDER THIS AGREEMENT WILL NOT EXCEED THE TOTAL COMMISSIONS PAID TO YOU IN THE SIX (6) MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM.

13.3 IN NO EVENT WILL REDDITMASTER BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, LOST DATA, OR LOSS OF GOODWILL, ARISING OUT OF OR IN CONNECTION WITH THIS AGREEMENT.

14. Indemnification

You agree to defend, indemnify, and hold harmless RedditMaster and its affiliates, officers, directors, employees, and agents from and against any claims, damages, liabilities, losses, costs, or expenses (including reasonable attorneys' fees) arising out of or related to: (a) your breach of this Agreement; (b) your marketing activities or content; (c) your violation of any law or third-party right; or (d) any tax liability for which you are responsible under Section 5.4 or 6.

15. Modifications

RedditMaster may modify this Agreement at any time by posting an updated version on the Affiliate dashboard or the RedditMaster website, or by sending you a notice. Modifications take effect on the date stated in the updated Agreement. Your continued participation in the Program after the effective date constitutes your acceptance of the updated Agreement. We may also require you to re-accept an updated Agreement before continuing to participate.

16. General

16.1 Independent contractor. You and RedditMaster are independent contractors. Nothing in this Agreement creates an employment, agency, partnership, franchise, or joint venture relationship.

16.2 Assignment. You may not assign or transfer this Agreement without RedditMaster's prior written consent. RedditMaster may assign this Agreement freely, including in connection with a merger, acquisition, or sale of assets.

16.3 Governing law and venue. This Agreement will be governed by and construed in accordance with the laws of the jurisdiction in which RedditMaster is organized, without regard to its conflict-of-laws principles. The parties consent to the exclusive jurisdiction and venue of the competent courts in that jurisdiction for any dispute arising out of or relating to this Agreement.

16.4 Entire agreement; severability. This Agreement, together with the RedditMaster Privacy Policy and Terms of Service, is the entire agreement between the parties regarding the Program and supersedes all prior or contemporaneous agreements. If any provision is held unenforceable, the remaining provisions will remain in full force and effect.

16.5 Notices and contact. Any notice, question, or request under this Agreement may be sent to RedditMaster at support@redditmaster.com. Notices to you may be sent to the email address on file for your Affiliate account.

By enrolling in the RedditMaster Affiliate Program, you acknowledge that you have read, understood, and agreed to this Agreement.
